Nomura to Book Pretax Income from Participation in Nomura Research Institute Off-Auction Share Buyback

Tokyo, June 22, 2021 - Nomura Holdings, Inc. (Nomura) today announced that it tendered a portion of the shares it owns in Nomura Research Institute, Ltd. (NRI) in an off-auction share repurchase (ToSTNeT-3) implemented by NRI on June 22, 2021. As a result of the sale, Nomura expects to book an extraordinary gain as outlined below.

|(3) Number of shares owned after the sale||159,838,510 shares (including 67,518,000 shares held by Nomura Properties, Inc.)
(Percentage of total outstanding shares: 27.1%)
|(4) Total amount sold||50,002,225,000 yen|
Note: Number of shares (589,367,951 shares) after subtracting number of shares repurchased by NRI on June 22, 2021 (14,105,000 shares) from NRI’s total outstanding shares as of March 31, 2021 (603,472,951 shares, excluding treasury stock and NRI shares held by NRI Group Employee Stock Ownership Trust).
2. Future Outlook
In conjunction with the sale, Nomura expects to book an estimated pretax income of approximately 36 billion yen in its FY2021/22 first quarter consolidated financial results. In addition, Nomura expects to book approximately 49 billion yen as a gain on the sale of shares of affiliates in its FY2021/22 first quarter non-consolidated financial results.
NRI will remain an equity method affiliate of Nomura. NRI remains an important affiliate for Nomura’s business strategy and the two companies will continue to engage in business alliances and partnerships.
